Introduction

IC Research Institute (“IC Research” or “we”) is pleased to offer the opportunity to have access to The IC Research Global Database (“Access”). If the user agrees to partake in the Access described in the invitation sent by IC Research the use is subject to these Terms of Service. Prior to initial login individuals as users need to explicitly acknowledge and consent to our Privacy Policy and Terms of Service.

Login Details

From the date on which the user has been granted Access, IC Research grants a personal, non-exclusive, non-transferable revocable right to use the login credentials. Where IC Research provides a username and password to use the Access, these login credentials are strictly confidential and are not be disclosed to any third party.

Restrictions on Use

If an individual has not been issued a username and password by IC Research, this person is not allowed to use the Access. In this case the individual is specifically prohibited from storing, copying or downloading any content. Generally the individual may not adapt, translate, modify, sell, distribute, whether in whole or in part or otherwise create derivative databases, services or works of or based on any content. The individual also may not reverse engineer, decompile or disassemble any of the software or technology contained. As part of the CRM API, users may disclose content to affiliates any information of a confidential nature and any other content imported into your CRM tools pursuant to this Agreement.

Processing of Your Personally Identifiable Information

When you register for and use the Access you will need to provide certain personally identifiable information. The use may also be monitored to ensure compliance with these terms. IC Research may use your IP address to authenticate your “Access”, to help diagnose problems and to gather information about user population. For details we refer to our Privacy Policy.

Confidentiality

Each party agrees that it shall not disclose any information of a confidential nature acquired pursuant to this Agreement, except for information which is or becomes within the public domain (other than by reason of a breach of this provision), which they may be entitled or bound to disclose by law or which is requested by regulatory or fiscal authorities or court of competent jurisdiction, or which is disclosed to their advisers where reasonably necessary. As part of the CRM API Dynamic Import Interface for CRM tools, you may disclose to your affiliates any information of a confidential nature and any other content imported into your CRM tools pursuant to this Agreement.

Clauses on AI and Autonomous Agent Use

These clauses govern what Clients/Users may and may not do with artificial intelligence (AI) systems and autonomous agents in connection with our platform and the data accessible through it. These clauses ensure our platform is used in a manner consistent with applicable data protection law, including GDPR, CCPA/CPRA, and the EU AI Act.

1 Definitions

1.1 In these Clauses, the following definitions apply:
“AI System” means any software, algorithm, model, or service – including but not limited to machine learning models, large language models (LLMs), generative AI tools, neural networks, and natural language processing systems – that processes inputs and produces outputs including text, predictions, classifications, recommendations, or automated decisions, whether operated by Clients/Users, a third party on Clients/Users behalf, or integrated into Clients/Users workflows.
“AI Agent” or “Autonomous Agent” means any AI System or software process that can autonomously plan, initiate, and execute multi-step tasks – including querying, accessing, extracting, or interacting with our Platform or its data – without direct, real-time human instruction at the point of execution. This includes agentic AI frameworks, robotic process automation (RPA) tools integrated with AI, browser automation agents, and AI-powered API clients.
“Platform Data” means all data, records, content, metadata, and information accessible through our Platform, including contact records, personal data, and any data Clients/Users download, or access via this Service.

2 Prohibition of AI Use

2.1 Any use of any AI System or AI Agent is strictly prohibited. Clients must not, and must ensure Users and any third parties acting on your behalf do not, use any AI System or AI Agent in connection with our Platform or Platform Data to:

• Generate, distribute, or publish AI results – whether intentionally or negligently – based on our Platform Data.
• Scrape, harvest, extract, or systematically download Platform Data at a volume or frequency that exceeds normal manual use, whether through automated scripts, browser automation, AI agents, or any other means;
• Reverse-engineer, replicate, or reconstruct any proprietary data structure, model, algorithm, or feature of our Platform;
• Apply AI profiling or scoring to data subjects in a manner that produces legal or similarly significant effects on those individuals without a documented lawful basis under GDPR Article 6 and, where applicable, Article 9;
• Circumvent, disable, manipulate, or override any access controls, rate limits, security measures, or content restrictions implemented by us, including through jailbreaking, prompt injection, or adversarial inputs;
• Use Platform Data to build, train, fine-tune, or benchmark any AI model that competes with our Platform or services (see also clause 3);
• Use AI Systems to process special category personal data (as defined in GDPR Article 9) accessible through our Platform without our prior written consent and a documented lawful basis;

2.2 Any breach of clause 2.1 shall constitute a material breach of these Terms, entitling us to exercise our rights of suspension/termination without prejudice to any other remedy available to us.

3 No AI Training on Our Data | Intellectual Property

3.1 Training Prohibition
Clients/Users must not use Platform Data – or any data derived, extracted, exported, or copied from our Platform – to train, fine-tune, pre-train, instruction-tune, benchmark, validate, or otherwise improve any AI System, whether operated by Clients/Users, a third-party AI provider, or any entity acting on Clients/Users behalf. This prohibition applies to the full data lifecycle, including data held in your own systems following export from our Platform.
3.2 Anonymisation Does Not Create an Exception
The prohibition in clause 3.1 applies regardless of whether Platform Data has been anonymised, pseudonymised, aggregated, tokenised, or otherwise transformed prior to use. Clients/Users acknowledge that imperfect anonymisation techniques may result in re-identification risks and that we cannot grant consent on behalf of data subjects for such use.
3.3 Competing Products
Without prejudice to clause 3.1, Clients/Users must not use Platform Data, AI outputs generated from Platform Data, or insights derived from our Platform to develop, train, or improve any product or service that competes, directly or indirectly, with our Platform or services. A product or service is deemed to compete if it offers substantially similar functionality to any feature of our Platform in the same or an adjacent market.

General

These Terms of Service, next to the Terms and Conditions and the Privacy Policy, represent the entire agreement between the client and IC Research for the provision of the Access. All other statements or undertakings are hereby excluded. The validity of this agreement, its enforcement and the interpretation of the resulting rights and duties of the parties shall be governed by the laws of the Federal Republic of Germany. The courts of Frankfurt am Main shall have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.

Changes to our Terms of Service

It is our policy to disclose any changes we make to our Terms of Service on this page. You should check these terms when you use the Services. Your continued use of the Services constitutes acceptance of the most current version of this Policy. If we make material changes to how we treat data subjects’ personal information, we will inform on this website. These Terms of Service were last revised on 8th August 2025.

Disclaimer and Limitation of Liability

IC Research makes no warranties, representations, or gives any undertakings, whether express, implied, or statutory, including, without limitation, as to merchantability, non-infringement, or fitness for a particular purpose in relation to the Access. In no event is IC Research liable for any incidental, consequential, or indirect damages.
